Supplement Manufacturing Contracts: What Buyers Should Define
This checklist identifies operational questions to take to the parties and their advisers; it is not a substitute legal contract.
Connect contractual milestones to identified records
| Decision | Information to request | How to use the answer |
|---|---|---|
| Authorised product | Formula, specification, pack and artwork revisions | Specify how an approved change becomes part of the order. |
| Acceptance | Sampling, applicable criteria and decision authority | Define handling of a disputed or unexpected result. |
| Materials and rights | Formula access, intellectual property and surplus stock | Separate ownership from permission to use or reorder. |
| Payment and delivery | Named milestone, terms and included documents | Avoid an undefined approval triggering a payment. |
| Exceptions | Delay, deviation, complaint, recall and termination tasks | Agree notice, records and responsibility before an issue arises. |
Specify the response to a changed specification
Illustrative purchasing exercise, not a customer case, test result or quotation.
A material substitution is proposed after the order is placed. Before that situation occurs, define who may request it, what approval is needed and how cost or schedule changes will be handled.
- Change control: Written description, reason and affected specification version.
- Approval: Named parties and evidence needed before implementing the change.
- Commercial effect: Revised price or date, unused material and the available resolution route.
Decision output: This is a contract-discussion checklist, not legal advice or a default clause. Have the actual agreement reviewed for the governing law and commercial arrangement.
Have legal and technical reviewers reconcile the responsibilities rather than using a standard clause without checking the process. Applicable manufacturing requirements remain relevant even where work is outsourced. Keep supplier commitments and buyer approvals on the same document versions so that a commercial dispute is not also a dispute about which product was authorised.
